Updated digital analysis, refund, subscription, authorization, promotional offer, chargeback, AI output, schedule-analysis limitation, and liability disclosures.
1. Introduction and Acceptance
These Terms of Service govern access to and use of Pathizer. By creating an account, accepting these Terms, or using Pathizer on behalf of yourself or an organization, you agree to these Terms and acknowledge the Privacy Policy.
Pathizer currently separates its public and authenticated experiences. www.pathizer.com is the marketing and public information site. app.pathizer.com is the authenticated application used for sign-in, organizations, projects, workspaces, settings, billing workflows, support, and related application features.
2. Eligibility, Authority, and Accounts
You may use Pathizer only if you can form a binding agreement. If you use Pathizer for an organization, you represent that you have authority to bind that organization to these Terms.
The person purchasing, subscribing, activating a project, uploading project data, or running analysis represents that they have authority to act for the applicable organization, project account, customer, or project team.
You are responsible for accurate account information, credential security, and activity under your account. Notify Pathizer promptly if you believe account access has been compromised.
3. Organizations, Workspaces, and Roles
Access to organizations, projects, and tools is controlled by roles, permissions, invitations, project assignments, and administrative settings. Organization administrators are responsible for granting, reviewing, and removing user access.
Organization Admins generally have full organization, billing, subscription, workspace, project, and access-control authority. Organization Managers may manage workspace files, users, and project assignments but do not receive project creation, billing, or ownership-level controls unless separately authorized. Project Controllers may manage assigned project setup, XER uploads, operations workspace reset/generation, settings, and project access workflows. Analysts and Field users may access assigned projects and tools according to project permissions. Platform Super Admins may use verified internal override authority to administer organizations, projects, billing, membership, support, security, and maintenance operations without being ordinary members of the organization or project.
Role names in the application are operational permission labels, not employment, legal, agency, or ownership designations. Pathizer may change role names, permission boundaries, or administrative controls as the platform evolves while preserving appropriate security and audit controls.
4. Uploaded Schedule and Project Data
Pathizer allows authorized users to upload Primavera P6 schedule files, XER files, project metadata, update history, activity and relationship data, turnover milestones, contractor coding references, documents, notes, support context, and related project records.
Customers retain ownership of uploaded schedules, XER files, documents, and project data. You are responsible for ensuring that uploaded materials may lawfully be submitted, stored, processed, analyzed, displayed, and shared through Pathizer.
You grant Pathizer a limited license to host, store, process, transmit, analyze, display, and generate outputs from uploaded data solely to provide, secure, support, administer, and improve the Services for your organization and authorized users.
5. Workspace Generation, Onboarding, and Operational State
Pathizer may guide users through onboarding and setup steps such as opening the menu, visiting XER Workspace, uploading schedule updates, confirming project settings, selecting contractor coding sources, choosing turnover milestones, entering optional liquidated damage rates, and running analysis. Suggestions and prompts are intended to help users complete setup and may be based on project state, permissions, and prior user actions.
Some modules require generated operational state, including Operations Workspace data created through workflows such as Reset from Last XER. If required operational metadata or generated state is missing, certain tools may display guidance or remain unavailable until an authorized user generates or refreshes that state.
Operational reset, updater, cache, and generation controls may replace or regenerate derived project state from uploaded schedules. These controls are intended to preserve underlying uploaded and audit records unless a specific deletion or archival action is expressly selected and authorized.
6. Demo Projects and Trial Use
Each organization may receive one demo project or trial workspace unless Pathizer approves otherwise. Demo projects may include limited historical coverage, limited Risk Intelligence or Operations Workspace access, limited free-analysis scope, sample workflows, reduced support scope, or other feature and data limitations.
Demo projects are provided for evaluation, onboarding, training, and non-production review. Demo outputs should not be treated as final project records, legal conclusions, professional opinions, or production deliverables unless the project is converted to a paid production workspace and the underlying data is reviewed by qualified users.
Platform Super Admins may reset an organization demo project using internal controls. A demo reset is intended to reset only the selected organization's demo project and preserve organization members, roles, invites, billing, pricing, non-demo projects, and non-demo import history. Demo reset behavior may still remove or regenerate demo project artifacts, generated state, analysis outputs, and demo-specific uploads.
7. Digital Analysis, Reports, and User Verification
Pathizer provides digital software, forensic schedule intelligence, project-controls analytics, workspace generation, comparison workflows, reporting tools, diagrams, simulations, Ask Pathizer explanations, exports, artifacts, and decision-support outputs. Analysis may require uploaded schedule updates, configured project settings, selected turnovers, operations workspace state, and active project coverage.
Pathizer is partly a discovery, information-extraction, and analysis tool. Users may obtain value immediately from reviewed data, generated analysis, visualizations, exports, AI explanations, evidence summaries, reports, or schedule intelligence made available through the Services.
Pathizer outputs are schedule-analysis aids designed to support review. They are not legal conclusions, court outcomes, claim determinations, scheduling certifications, engineering opinions, expert-witness opinions, or professional advice. Users remain responsible for reviewing source records, validating assumptions, confirming methodology, and deciding how outputs should be used.
Analysis generation may take time. Pathizer may send transactional notifications, including engine completion, setup, support, billing, invitation, account, or security emails. Delivery timing can vary based on system load, data size, third-party providers, and operational constraints.
8. AI and Ask Pathizer Outputs
Ask Pathizer and other AI-assisted explanations are assistive and informational. They may summarize, prioritize, or explain available schedule evidence, but they do not replace professional judgment, project-controls review, legal advice, engineering review, claims consulting, scheduling certification, or expert-witness services unless separately agreed in writing.
AI outputs may be incomplete or inaccurate and must be verified before reliance. Pathizer does not determine legal responsibility, entitlement, causation, damages, guaranteed recovery, claim success, or the correct professional conclusion for any project dispute.
AI outputs should be read with the supplied evidence, limitations, uploaded schedule data, project configuration, and user-selected context. Users remain responsible for confirming project facts, contract requirements, field conditions, and professional conclusions.
9. Schedule-Analysis Limitations
Results depend on uploaded and input schedule data quality, XER contents, available update history, project configuration, contractor field mapping, turnover definitions, user selections, activity coding, calendars, relationships, constraints, and other source information.
Pathizer does not promise that uploaded schedules are correct, complete, or contract-compliant. Pathizer does not promise schedule recovery, delay entitlement, claim success, project outcome, damages recovery, or acceptance by any owner, contractor, consultant, tribunal, or court.
Users remain responsible for validating schedule logic, field conditions, project records, notices, contracts, delay events, responsibility, mitigation, damages, and any conclusions drawn from Pathizer outputs.
10. Billing, Pricing, Coverage, and Activation
Pathizer may bill services at the organization, project, package, coverage, subscription, storage, or usage level. Project activation, deactivation, coverage selection, billing portal actions, project creation, upload activity, analysis generation, selected services, and module access may affect billing status according to the billing interface, pricing page, checkout disclosure, invoice, order form, or written agreement.
Subscriptions renew automatically unless canceled before renewal according to the applicable billing workflow. Cancellation stops future renewals but does not necessarily refund current or prior billing periods, delivered analysis, activated coverage, or services already made available, except where required by law or expressly stated by Pathizer.
Billing may be tied to project coverage, active products or modules, historical data coverage, activity tiers, selected services, or other commercial terms shown before purchase or activation. Customers are responsible for reviewing billing selections, coverage, subscription renewals, activity tiers, and project activation choices before confirming purchase or activation.
Project subscription pricing may be locked for the active billing period. New coverage, additional data depth, changed project size, selected services, or project activation changes may be previewed for a later billing cycle unless immediate billing is expressly shown or agreed. Pricing changes apply prospectively and do not retroactively alter prior billing periods unless Pathizer expressly states otherwise.
Pathizer may modify pricing, subscription tiers, included features, storage allocations, billing structures, package names, or commercial policies from time to time. Material pricing changes affecting active paid subscriptions will receive at least sixty (60) days advance notice by email to organization administrators before taking effect for future billing periods.
Organizations may enable or disable automatic coverage, next-cycle billing management, or related billing automation where available. Inactivity, completion signals, subscription cancellation, payment failure, coverage gaps, or administrative action may pause, restrict, or deactivate project access or analysis generation. Trial periods, promotional access, and demo credits are service access only unless a separate written agreement says otherwise.
Operations Workspace generation or reset may be required before some modules can run, but generating operational state does not by itself promise that billing coverage, storage, data completeness, or analysis prerequisites are satisfied.
11. Digital Delivery, Refunds, and Chargebacks
Pathizer provides digital schedule analysis, software access, generated outputs, and information-based services. Analysis may begin immediately after upload, purchase, run, project activation, subscription activation, or coverage activation.
Once analysis results, reports, artifacts, AI or evidence outputs, exports, visualizations, schedule intelligence, or other digital outputs are generated or made available, substantial digital value has been delivered. Because this information can be consumed, copied, exported, shared, or acted upon once delivered, fees are generally non-refundable after services are activated, analysis is run, or outputs are made available.
Free, demo, trial, and Quick Analysis workflows allow users to evaluate Pathizer before purchase. Any refund, credit, or billing exception is at Pathizer's sole discretion except where required by law, and one exception does not create an obligation to provide future exceptions.
Customers should contact [email protected] with billing concerns before initiating a chargeback. Chargebacks after delivered analysis, activated services, or made-available outputs may result in account restriction, suspension, termination, loss of access to generated outputs, or collection of unpaid amounts where permitted by law.
Abuse of trial, promotional, referral, refund, chargeback, or billing policies may result in denied credits, account restriction, project suspension, or termination.
12. Internal Authorization and Customer Disputes
Customers are responsible for ensuring that purchases, subscriptions, project activations, uploads, coverage selections, module selections, and analysis runs are properly authorized within their organization, project team, client relationship, consulting engagement, or company.
Pathizer is not responsible for internal disputes between employees, contractors, consultants, owners, clients, departments, joint-venture partners, or companies. Unauthorized internal use, lack of internal approval, project team disagreement, client disagreement, or later budget conflict does not automatically entitle the customer to a refund or credit.
The person using a company email domain, organization workspace, project account, payment method, purchase flow, activation control, or billing control represents that they have authority to bind the applicable organization or project account to the selected purchase, subscription, activation, or analysis run.
13. Referral, Promotional, Trial, and Credit Programs
Referral codes, promotional discounts, promotional credits, free trials, demo access, marketing offers, and bundled discounts are optional promotional programs. Pathizer may modify, suspend, revoke, or discontinue these programs at any time unless a separate written agreement states otherwise.
Promotional benefits are not guaranteed compensation and generally have no cash value unless expressly stated. Pathizer is not responsible for internal disputes caused by one user receiving, sharing, redeeming, losing, or using a referral or promotional benefit.
Referral, promotional, trial, demo, or credit benefits may be denied, limited, or revoked for abuse, self-referrals, duplicate accounts, fraud, chargebacks, nonpayment, policy violations, unauthorized use, or misuse.
14. Storage, Retention, Archival, and Deletion
Project document storage may be limited by project size or complexity. The maximum project document storage available may be calculated as Complexity Value divided by 20 equals maximum GB of project document storage, unless a different written or in-app limit applies. Pathizer may block uploads that exceed applicable limits.
Documents stored on Pathizer servers for a project may be permanently deleted after eighty-four (84) consecutive months, or seven (7) years, without an active subscription for that project. Resubscribing before the 84-month inactivity period ends resets the inactivity clock. Users are responsible for downloading or exporting documents they want to retain before deletion.
Archived, completed, inactive, suspended, or deactivated projects may retain uploaded files, generated outputs, audit records, billing records, legal acceptance records, support records, and operational metadata as needed to provide the Services, comply with law, resolve disputes, preserve security, maintain backups, or satisfy contractual obligations.
15. Support, Email, and Communications
Pathizer may provide support through in-app support tickets, email, phone, billing channels, administrative channels, or other support workflows. Support tickets and related communications may include account identity, user email, display name, organization context, project context, browser or usage context, category, message content, timestamps, and related diagnostics when available.
Support communications may be routed to [email protected]. Billing questions may be routed to [email protected]. Legal notices may be routed to [email protected]. Privacy requests may be routed to [email protected]. Transactional emails may be sent from no-reply or noreply addresses with appropriate reply-to routing.
You consent to receive transactional, administrative, account, security, support, billing, legal, and service-related communications electronically. Marketing communications, if any, will be handled according to applicable law and available preferences.
16. Administrative Controls, Audit, and Security Operations
Pathizer personnel and verified Platform Super Admins may access administrative tools and customer environments when needed for support, security, billing, legal compliance, abuse prevention, account administration, maintenance, debugging, migration, demo reset, incident response, or service operation.
Administrative access is intended to be limited to legitimate operational purposes and may be logged, audited, reviewed, or restricted by internal controls. Pathizer may preserve audit trails for user actions, role changes, project access changes, legal acceptance, billing events, support activity, uploads, analysis runs, and administrative operations.
17. Acceptable Use
You may not use Pathizer to violate law, infringe rights, introduce malicious code, interfere with service integrity, access another customer's data, evade usage controls, overload systems, misrepresent authority, misuse support channels, or submit data you are not authorized to use.
You may not rely on Pathizer to conceal, alter, or destroy evidence or project records in violation of legal, contractual, litigation-hold, or professional obligations.
18. Third-Party Services and Availability
Pathizer may depend on third-party providers for cloud hosting, storage, authentication, payment processing, email delivery, monitoring, logging, analytics, AI model access, and related services. Service availability may vary, and Pathizer may modify, suspend, or discontinue features as needed.
Pathizer does not overpromise uninterrupted availability, preservation of every derived artifact, or compatibility with every schedule file, browser, integration, or workflow.
19. Disclaimers of Warranties
Pathizer is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Pathizer disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, output accuracy, project outcome, schedule recovery, damages recovery, claim success, or acceptance by any third party.
Nothing in these Terms limits rights that cannot be waived under applicable law.
20. Limitation of Liability
To the maximum extent permitted by law, Pathizer is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, lost opportunities, loss of data, project delay, business interruption, internal customer disputes, customer-client disputes, or third-party disputes arising out of or relating to the Services.
To the maximum extent permitted by law, Pathizer's total liability for claims arising out of or relating to the Services will not exceed the amounts paid by the customer to Pathizer for the affected Service during the twelve months before the event giving rise to liability, or one hundred dollars ($100), whichever is greater. This limitation does not apply where prohibited by law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Pathizer and its officers, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from your misuse of the Services, violation of these Terms, violation of law, internal authorization dispute, chargeback misuse, or infringement or misappropriation of third-party rights through content or data you submit to the Services.
22. Suspension and Termination
Pathizer may suspend or terminate access for security reasons, nonpayment where applicable, chargebacks, misuse, legal or compliance concerns, violation of these Terms, unauthorized use, abuse of promotional or refund policies, or operational risk. Certain records may be retained for legal, audit, backup, security, billing, support, or contractual purposes.
23. Changes to Terms
Pathizer may update these Terms from time to time. If we make material changes, we may provide notice and/or require you to accept the updated Terms before continuing to use the Services. The updated Terms will apply after the effective date shown above or after your acceptance, where acceptance is required.
Pricing, subscription, tier, feature, storage, refund, promotional, and billing-structure changes are also governed by the notice rules in the billing section of these Terms.
24. Governing Law, Venue, and Contact
These Terms will be governed by the laws of the jurisdiction identified in Pathizer's contracting records with the customer, without regard to conflict-of-law rules. If no specific jurisdiction is identified in an applicable order, agreement, or contracting record, disputes will be handled in a court of competent jurisdiction. Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief where appropriate.
